RESTATED ARTICLES OF INCORPORATION - NONSTOCK CORPORATION

The following restated articles of incorporation of COULEE KENNEL CLUB, INC. duly adopted pursuant to the authority and provisions of Chapter 181 of the Wisconsin Statutes, supercede and take the place of the existing articles of incorporation and any amendments thereto:

Article 1.   The name of the corporation: Coulee Kennel Club, Inc.

Article 2.   The corporation is organized under Chapter 181 of the
Wisconsin Statutes.

Article 3.   Name of the registered agent: Becky Pomeroy

Article 4.   Street address of the registered office: N5803 Jordson Coulee Road,   West Salem, WI  54669

Article 5.   Mailing address of the principal office: N5803 Jordson Coulee Road,  West Salem, WI  54669

Article 6.   The corporation will have members.

Article 7.   The objects of the Club shall be: (a) to further the advancement of all breeds of  purebred dogs; (b) to educate the public about the world of purebred  dogs and   responsible dog ownership; (c) to conduct dog shows, field trials, obedience trials, sanctioned matches, and all other AKC approved events under the rules and regulations of the American Kennel Club.

Article 8.   The club shall not be conducted or operated for profit and no
part of any profits or remainder or residue from dues, fees or donations to the club shall inure to the benefit of any member or individual.

Article 9.      The number of directors shall be determined by the bylaws but shall not be less than three.

Article 10.     The members shall adopt and may from time to time revise such  bylaws as may be required to carry out these objectives.

Article 11.     These articles may be amended in the manner authorized by law at the time of amendment.
